Welcome to Vanilla. These Terms of Service (“Terms”) govern your use of the Vanilla app and related services (“Vanilla” or the “Service”).
By creating an account or using Vanilla, you agree to these Terms. If you do not agree, please do not use the Service.
Who Can Use Vanilla
You must be at least 16 years old to use Vanilla.
You are responsible for providing accurate account information and for keeping your account secure. You are also responsible for activity that occurs through your account.
Using Vanilla
Vanilla is designed to help people connect and spend time together.
You agree not to use Vanilla to:
- Harass, threaten, stalk, or harm another person.
- Impersonate someone or misrepresent your identity.
- Post or share unlawful, fraudulent, abusive, or seriously harmful content.
- Violate another person’s privacy or intellectual property rights.
- Send spam or use Vanilla for unauthorized commercial solicitation.
- Attempt to gain unauthorized access to Vanilla, another user’s account, or our systems.
- Interfere with or disrupt the operation or security of the Service.
- Use automated systems to scrape, collect, or access information from Vanilla without our permission.
- Use Vanilla in violation of applicable law.
We may restrict, suspend, or terminate accounts that violate these Terms or create a risk of harm to Vanilla, our users, or others.
Your Content
You may be able to share information, activities, or other content through Vanilla (“User Content”).
You keep ownership of your User Content.
You give Vanilla a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise process your User Content only as reasonably necessary to operate, provide, secure, and improve Vanilla.
You represent that you have the necessary rights to anything you share through Vanilla and that your User Content does not violate these Terms or applicable law.
You are responsible for deciding what you share and with whom you share it.
Other Users and Real-World Interactions
Vanilla helps people connect, but we do not control the behavior of users or what happens during interactions between them, including interactions that occur outside the Service.
Use reasonable judgment when interacting with others. You are responsible for your own decisions and interactions with other users.
Privacy
Our Privacy Policy explains how we collect, use, and disclose personal information when you use Vanilla.
By using the Service, you acknowledge that your information will be handled as described in the Privacy Policy.
Vanilla’s Intellectual Property
Vanilla and its software, design, branding, logos, and other materials are owned by us or our licensors and are protected by intellectual property laws.
These Terms give you a limited, personal, non-exclusive, non-transferable right to use Vanilla for its intended purpose. They do not transfer ownership of Vanilla or its intellectual property to you.
Changes to the Service
Vanilla is an evolving product. We may add, change, suspend, or discontinue features or portions of the Service.
We may also update these Terms from time to time. If we make material changes, we will provide reasonable notice when appropriate. Your continued use of Vanilla after updated Terms become effective means you accept the updated Terms.
Ending Your Account
You may stop using Vanilla or delete your account at any time.
We may suspend or terminate your access if you materially violate these Terms, create a safety or security risk, or use Vanilla in a way that could expose us or others to legal liability.
Sections that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, limitations of liability, and disputes—will continue to apply.
Disclaimers
Vanilla is provided “as is” and “as available.”
To the extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not guarantee that Vanilla will always be available, uninterrupted, secure, or error-free, or that interactions with other users will meet your expectations.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
Limitation of Liability
To the fullest extent permitted by law, Vanilla and its owners, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses arising from your use of the Service.
To the fullest extent permitted by law, our total liability for claims relating to the Service will not exceed the greater of $100 or the amount you paid Vanilla during the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
Indemnification
To the extent permitted by law, you agree to indemnify and hold Vanilla harmless from claims, damages, losses, and reasonable expenses arising from your unlawful use of the Service, your User Content, or your material violation of these Terms or another person’s rights.
Governing Law and Disputes
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles.
Before filing a legal claim, you and Vanilla agree to make a reasonable good-faith effort to resolve the dispute informally by contacting hello@vanillawith.me.
Unless applicable law requires otherwise, any legal proceeding that is not resolved informally will be brought in the state or federal courts located in Illinois, and you and Vanilla consent to their jurisdiction.
Nothing in these Terms prevents either party from bringing an eligible claim in small claims court.
General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
You may not transfer your rights or obligations under these Terms without our consent. We may transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of our business.
These Terms and the Privacy Policy constitute the agreement between you and Vanilla concerning your use of the Service.
